- Shareholder Proposal Procedure
- According to Article 363-2 and 542-6 of the Commercial Act, shareholders that satisfy the following can make suggestions for the goals of the general meeting of shareholders through written or electronic communication up to 6 weeks before the date of the meeting (in the case of the regular general meetings of shareholders, the relevant date of the year).
- - Shareholders with stocks over 3/100 of issued stocks that have voting rights (Article 363-2 of the Commercial Act)
- Shareholders that have owned stocks over 10/1000 of issued stocks that have voting rights since 6 months prior (Article 542-6 of the Commercial Act) - Except in cases where the content suggested violates laws or articles of association or correspond to Article 12 of the Enforcement Decree Of The Commercial Act which speaks of grounds for refusal of shareholder suggestions, they are accepted as goals of the general meeting of shareholders and listed in the meeting announcement. When there are claims made by the suggesters, the major content of the relevant bills are also listed, and an opportunity to explain the bills is provided at the meeting.
